I am very much concerned with recent undertakings of the USACA Executive Board for repeatedly violating the Constitution of USACA, and with the current leadership for making unilateral decisions which could adversely impact the outcome of the upcoming USACA elections. I strongly urge the cricket stakeholders of USA and member organizations of USACA to read the constitution thoroughly and especially in relation to constitutional amendments, leadership rights/obligations, membership and elections.
Any amendment(s) to the constitution should be adopted by a two-thirds (2/3) majority of legitimate voting members at an annual/special general meeting, per Article XXIV and Article XXV – Amendments of Constitution.
Also, all and any constitutional inconsistencies must be clarified and ratified with all of the regional general membership and annual/special general membership and not by actions or proceedings of a handpicked Board of Directors, committees or other bodies using Article XXVI as a Saving Clause.
The current leadership has unilaterally
1. treated regions as separate entities instead of an established extension of the association ( Article X section 5 )
2. invoked suspension of the Regions ( Article X Governance Section 4; Appendix A Regional Divisions; Appendix C terms and Definitions , Regions )
3. invoked/revoked suspension/appointments of cricketers / Coaches / Administrators / Officer(s) / committee (s) / official(s)
inclusive of
1. suspension of the West Region
2. formation of North West Region and South West region thereby altering Appendix A Regional Divisions in the USACA constitution
3. suspension of the North East Region
The USACA Board members approve the Associate, provisional, full members as per Article III – Membership. All of the membership parameters, based on Article IV – Membership dues, Article V -Membership rights, Article VI – Membership obligations, Article VII – Good Standing and Article VIII – Termination or Suspension of Membership, shall be audited by an Independent Auditor(s), per Article XVII section 2, and not by any Board member(s), so as to avoid the possible creation of a conflict of interest, per Article XVII.
Article XXII – Voting advocates the appointment of an independent auditor to ensure a fair and impartial manner of all voting/elections, particularly in the election year to start determining the number of legitimate members, per Article XXII Section 2 (i).
Article XIII – Regional Administration Section 9 advocates the term of office for members of Regional Administration to be a period of three years. This is applicable to all regional representatives, Regional directors, secretary, treasurer, all member-at-large(s) inclusive of youth and women coordinator(s).
Article XXI – Elections Section 4 advocates the term of the office for all the elected Board executives – President, 1st Vice President, 2nd Vice President, Executive Secretary, and Treasurer – to be a period of three years.
Article XXI – Elections Section 1 Board of Directors advocates elections to be held consistent with the electoral cycle.
Article XII – Duties of Officers of the Board Section 3 Executive Secretary (ix) advocates the Executive Secretary to conduct official correspondence on behalf of the association and emanating from Board.
Based on all of the above, I conclude that,
1. This year’s election should have been held no later than March 28, 2011
2. All the positions in the USACA Board cease to exist as of 28th March 2011.
3. All the appointments and administrative directives by the USACA Board on or after the said 28th March 2011 to be made null and void.
4. The USACA compliance officer cannot be a member of the Board and should be appointed independent of the USACA Board.
5. All communications from and to the Board should be through the Executive Secretary.
I urge the member organizations in good standing to convene the required Annual/Special general meeting immediately, to appoint an independent auditor and to further conduct the upcoming elections for restoring much needed fairness, change, transparency and democracy in the cricket stakeholders of USA.
